Terms of Service
These Terms of Service form a binding agreement between you and Loominfo Limited, a company registered in New Zealand under company number 9429052682902 with its registered office at 17A Prictor Street, Papakura, Auckland, New Zealand. Loominfo Limited operates WorkVib at workvib.com and related web, mobile, and API services.
By creating an account, using WorkVib, or clicking to accept these terms, you agree to these Terms together with the Privacy Policy, Refund Policy, Cookie Notice, Data Processing Agreement, and Sub-processors page.
1. The Service
WorkVib is a multi-tenant software-as-a-service workspace for project management, kanban boards, sprints, task tracking, time logs, notes, team chat, reports, client portals, automation, and AI-assisted productivity features.
You are responsible for your workspace content, your team member access, your client or guest invitations, and the lawful use of any data you upload or generate through the Service.
2. Eligibility and accounts
You must be at least 18 years old, or the legal age of majority in your jurisdiction, and able to form a legally binding contract. If you use WorkVib for a company, you confirm that you are authorized to bind that company.
You are responsible for keeping account credentials secure and for all activity under your account. Tell us promptly at support@workvib.com if you suspect unauthorized access.
3. Acceptable use
- Do not use WorkVib for unlawful, harmful, fraudulent, abusive, or rights-infringing activity.
- Do not upload malware, attempt unauthorized access, probe systems without written permission, or interfere with service operation.
- Do not use WorkVib to harass, stalk, dox, threaten, or exploit any person.
- Do not scrape, reverse-engineer, resell, white-label, or sublicense the Service without our written consent.
- Do not send spam, phishing, deceptive messages, or unsolicited bulk communications through the Service.
A serious or repeated breach may result in suspension or termination without refund, subject to mandatory law.
4. Your content and data
You retain ownership of content you submit to WorkVib, including projects, tasks, comments, chat messages, files, notes, time logs, reports, workspace settings, and team or client records.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and secure that content only as needed to provide, maintain, protect, and improve WorkVib.
You confirm that you have the necessary rights and lawful basis to upload and process content in WorkVib.
5. Data roles
For personal data your organization stores about users, staff, clients, contractors, or other third parties, you are usually the controller, agency, or business, and we act as processor, agent, or service provider. We process that data on your documented instructions, consistent with our Privacy Policy and DPA.
6. Fees, trials, subscriptions, and cancellation
Some WorkVib features may be free, while others require a paid subscription. Paid plans are billed in advance monthly or yearly and renew automatically unless cancelled before renewal.
Fees exclude taxes unless stated otherwise. Our payment provider may calculate and collect applicable GST, VAT, sales tax, or similar charges.
You may cancel renewal from your billing settings or by contacting support. Cancellation stops future charges but does not automatically refund the current billing period.
7. Payment processing
We use Paddle as Merchant of Record for subscription payments. Paddle handles checkout, taxes, invoices, card processing, and payment-card storage. We do not store full payment-card numbers.
If a payment fails, is reversed, or is disputed, we may suspend access to paid features until the issue is resolved.
8. AI-assisted features
WorkVib may include AI-assisted features that generate summaries, task suggestions, action items, prioritization help, or similar outputs. You are responsible for reviewing AI output before relying on it.
Do not submit sensitive personal information, regulated data, or confidential third-party information to AI features unless your organization has confirmed it is permitted and appropriate.
9. Availability, support, and changes
We aim to keep WorkVib available, but we do not guarantee uninterrupted or error-free operation. Support is provided primarily by email at support@workvib.com. We may add, modify, or remove features as the product evolves.
10. Termination
You may stop using WorkVib at any time. We may suspend or terminate access for material breach, security risk, non-payment, legal requirement, or discontinuation of the Service.
After termination, we will delete or anonymize account data within the periods described in the Privacy Policy, except where law requires retention.
11. Intellectual property
WorkVib, its software, design, code, trademarks, and brand assets are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use WorkVib during your subscription or permitted free use.
12. Disclaimers and liability
To the maximum extent permitted by law, WorkVib is provided as is and as available. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service in any rolling 12-month period is limited to the greater of the subscription fees you paid us in that period or NZ$500. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.
13. Governing law and changes
These Terms are governed by New Zealand law. The parties submit to the exclusive jurisdiction of the courts of New Zealand sitting in Auckland, except where mandatory consumer law gives you rights in your local courts.
We may update these Terms. If a change is material, we will give reasonable notice by email, in-product notice, or on the website.
